About This Service
Private limited company registration in India provides limited liability, legal independence, and access to tax benefits. Governed by the Companies Act, 2013, it requires a DSC, DIN, and required documentation such as address proof. The SPICe+ form enables combined application for name approval, incorporation, company tax registrations, and GST. Once approved by the RoC, you receive a Certificate of Incorporation, allowing the company to operate legally, own assets, and sign contracts.
GoodAdvisor streamlines the entire process by providing comprehensive end-to-end support for private limited company registration, legal documentation, and regulatory compliance. Our expert team ensures every step is handled efficiently and accurately, while maintaining complete transparency in pricing with no hidden costs.
What is a Private Limited Company (Pvt Ltd)?
A Private Limited Company is a business entity incorporated under the Companies Act, 2013. It is the most preferred form of business structure in India, especially among startups, entrepreneurs, and growing businesses. The company operates as a separate legal entity from its owners, meaning it can own property, incur debt, and enter contracts independently.
A Pvt Ltd company must have a minimum of 2 directors and 2 shareholders, with a maximum cap of 200 members. The liability of members is limited to their shareholding, which means personal assets remain protected from business debts. The company enjoys perpetual succession — it continues to exist irrespective of changes in ownership.
Shares of a private company cannot be traded on stock exchanges and can only be transferred with the approval of the board. The company name must always end with "Private Limited" or "Pvt Ltd".
Types of Private Limited Company (Pvt. Ltd.)
Under Indian law, there are several categories of private companies, each suited for different business needs:
1. Company Limited by Shares
This is the most common type of Pvt Ltd company. The liability of each member is limited to the amount unpaid on the shares held by them. Ideal for startups and businesses that plan to raise investment.
2. Company Limited by Guarantee
Members guarantee to pay a fixed amount toward the company's debts during winding up. This structure is commonly used by non-profit organizations, clubs, trade associations, and charitable institutions.
3. Unlimited Company
There is no limit on the liability of members. This is rarely used due to the unlimited personal risk involved. Members are fully liable for all company debts.
4. One Person Company (OPC)
A special form of private company that allows a single person to operate a company with limited liability. It requires only one director and one nominee. Suitable for solo entrepreneurs.
For most entrepreneurs and startups, a Company Limited by Shares is the recommended choice. It offers the best combination of limited liability, investor confidence, and growth potential.
Requirements for Private Limited Company Registration
Minimum Two Directors
A Pvt Ltd company must have at least 2 directors and can have a maximum of 15. At least one director must be a resident of India (stayed in India for a minimum of 120 days in the preceding financial year). All directors must obtain a Director Identification Number (DIN).
Minimum Two Shareholders
The company requires a minimum of 2 shareholders, with a maximum limit of 200. A director can also be a shareholder. Foreign nationals and NRIs are eligible to be shareholders, subject to FEMA regulations and RBI guidelines.
Registered Office Address
Every company must have a registered office in India. This can be a commercial space, residential address, or co-working space. Proof of address (utility bill + NOC from the property owner) must be submitted at the time of incorporation.
Digital Signature Certificate (DSC)
All proposed directors must obtain a Class 3 Digital Signature Certificate. The DSC is used to electronically sign the incorporation documents filed with MCA. It is valid for 2 years and can be renewed.
Director Identification Number (DIN)
DIN is a unique identification number assigned to every director. It is now obtained as part of the SPICe+ incorporation form itself, so there is no need to apply separately.
Unique Company Name
The proposed company name must be unique and not similar to any existing company or registered trademark. The name is reserved through the RUN (Reserve Unique Name) service on the MCA portal. It must end with "Private Limited".
Timeline for Private Limited Company Registration
The entire process of registering a Pvt Ltd company typically takes 10-15 working days, depending on the completeness of documents and MCA processing times.
| Step | Activity | Duration |
|---|---|---|
| 1 | Obtain Digital Signature Certificate (DSC) | 1-2 days |
| 2 | Name reservation via RUN/SPICe+ | 2-3 days |
| 3 | Drafting MOA and AOA | 1-2 days |
| 4 | Filing SPICe+ form with MCA | 1 day |
| 5 | MCA processing and approval | 3-5 days |
| 6 | Certificate of Incorporation issued | Same day as approval |
Note: Timelines may vary depending on government processing speeds, public holidays, and the completeness of submitted documents. Incomplete or incorrect applications may face resubmission delays.
Government Fees for Pvt Ltd Company Registration
The government fees for private limited company registration depend on the authorized share capital of the company:
| Component | Amount |
|---|---|
| MCA Filing Fee (SPICe+) | Included in professional fee |
| Stamp Duty (varies by state) | ₹1,000 – ₹5,000 |
| DSC Fee (2 directors) | Included |
| Name Reservation (RUN) | ₹1,000 |
| Company tax registration application | Included in SPICe+ |
GoodAdvisor's professional fee of ₹7,999 covers the complete process including DSC, DIN, name approval, MOA/AOA drafting, and filing. Government fees (stamp duty) are charged separately as they vary by state.
Benefits of Private Limited Company Registration
Limited Liability Protection
Shareholders' personal assets are protected from business debts. Liability is limited to the amount invested in shares, giving founders peace of mind.
Separate Legal Entity
A Pvt Ltd company has its own legal identity. It can own property, enter contracts, sue and be sued in its own name, completely separate from its members.
Easy Access to Funding
Private limited companies can raise equity capital from angel investors, venture capitalists, and private equity firms. This makes it the preferred structure for startups seeking investment.
Perpetual Succession
The company continues to exist regardless of changes in ownership, death of shareholders, or transfer of shares. This ensures business continuity.
Tax Benefits & Deductions
Companies enjoy a flat tax rate of 22% (plus surcharge and cess) under the new tax regime. Eligible startups can claim a 3-year tax holiday under Section 80-IAC.
Credibility & Brand Value
Having "Pvt Ltd" in your company name enhances credibility with clients, vendors, banks, and government agencies. It signals a professional and established business.
Employee Stock Options (ESOPs)
Only Pvt Ltd companies can issue ESOPs, which are a powerful tool for attracting and retaining top talent, especially for startups.
Easy Transfer of Ownership
Ownership can be transferred by transferring shares (with board approval), making succession planning and exit strategies straightforward.
Difference Between Private Limited Company and Other Structures
| Feature | Pvt Ltd Company | LLP | OPC | Sole Proprietorship |
|---|---|---|---|---|
| Min Members | 2 | 2 | 1 | 1 |
| Limited Liability | Yes | Yes | Yes | No |
| Raise Equity Funding | Yes | No | Limited | No |
| Compliance Level | High | Moderate | Moderate | Low |
| Statutory Audit | Mandatory | If turnover > ₹40L | Mandatory | If turnover > ₹1Cr |
| Foreign Investment | Allowed (FDI) | Allowed (with limits) | Not allowed | Not allowed |
| Best For | Startups, funded businesses | Professional firms | Solo entrepreneurs | Freelancers, small shops |
If you are planning to raise investment, issue ESOPs, or build a scalable business, Private Limited Company is the best choice. For small professional practices with 2+ partners and simpler compliance needs, an LLP may be more suitable.
Mandatory MCA Compliance for Private Limited Companies
After incorporation, every Pvt Ltd company must comply with the following mandatory requirements under the Companies Act, 2013:
Immediately After Incorporation
- Open a Current Account — in the company's name at any scheduled bank
- File INC-20A — Declaration of Commencement of Business within 180 days of incorporation

Annual Compliance Requirements

- Income Tax Return (ITR-6) — Due by October 31st each year
- DIR-3 KYC — Annual KYC for all directors, due by September 30

Penalties for Non-Compliance
Non-filing of annual returns attracts a penalty of ₹100 per day of delay per form. Directors of non-compliant companies can be disqualified under Section 164(2) for a period of 5 years. The company may be struck off the register if annual returns are not filed for 2 consecutive years.
